1. Introduction and Acceptance

By accessing or using the www.postuby.com website and the Postuby software platform ("Service") provided by POSTUBY INC ("Postuby", "We", "Us", or "Our"), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you may not access or use the Service.

2. Description of the Service

Postuby is an Artificial Intelligence-powered, cloud-based Software as a Service (SaaS) platform that assists users in generating digital social media assets (images, text, video), scheduling and publishing these assets (Content Publish) directly to various Social Networks, and managing incoming messages/comments from a unified dashboard.

3. Account Registration and Security

To utilize the Service, you must register for an account. You guarantee that the information you provide during registration is accurate, complete, and current. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breaches.

4. Third-Party APIs and Social Media Integrations

Postuby heavily relies on third-party APIs (such as Meta for Facebook and Instagram, LinkedIn, and X) to function as a publishing tool:

• All content published or messages sent through the Service must strictly conform to the Developer Policies and Terms of Use of the connected social network (e.g., the Meta Platform Terms).
• Postuby is not legally or technically liable if a third-party social network suspends your social account, revokes API access, or determines that you have violated their Community Guidelines.
• We are not responsible for any scheduled content that fails to publish as a result of third-party API outages or unannounced structural changes by platforms like Meta or LinkedIn.

5. User Content and Acceptable Use

You retain all intellectual property rights to the materials you upload, generate, and publish via the Service. However, as an active user, you agree NOT to:

• Publish content that is illegal, defamatory, abusive, harassing, hateful, or infringes upon any third-party copyrights/trademarks.
• Rely blindly on AI-generated outputs. Artificial Intelligence can occasionally hallucinate incorrect facts. You are completely and solely responsible for reviewing any AI-generated texts or images (including accidental trademarked brand generations) before approving them for publication.
• Engage in scraping, bot-spamming, DDoS attacks, or distribute malicious payloads through our endpoints.

6. Intellectual Property Rights (Our Property)

All software architecture, algorithms, UI/UX designs, logos, text, and source code comprising the "Platform Content" constitute the exclusive intellectual property of POSTUBY INC. Your subscription strictly grants you a limited, non-transferable, and revocable license to use the Service internally for personal or business purposes.

7. Termination and Suspension

POSTUBY INC reserves the absolute right to suspend, limit, or permanently terminate your account without prior notice if we determine, at our sole discretion, that you have violated these Terms. Conversely, you may cancel your subscription at any point and submit a request for account completion and data deletion (See Data Deletion Policy).

8. Disclaimer and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. POSTUBY INC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL POSTUBY INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL) RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

9. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Exclusive jurisdiction for all claims lies within the federal or state courts located in Delaware.
